Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and CAI Systems, Inc. (“Company,” “we,” “us,” or “our”) governing your access to and use of the Talon API platform, including the website at talonapi.dev, all API endpoints, the developer dashboard, documentation, and any related services (collectively, the “Service”).
By creating an account, generating an API key, or making any API call to the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
01Service Description
Talon API provides a REST API for prior authorization intelligence in the healthcare domain, including:
- >Payer-specific prior authorization requirement lookups
- >AI-powered clinical note gap analysis against payer requirements
- >Submission readiness scoring and gap assessments
- >Appeal letter generation based on denial patterns and outcomes data
- >Drug formulary coverage and prior authorization status lookups
- >CMS metrics and payer comparison analytics
The Service is designed for integration into healthcare software systems by developers, EHR vendors, billing platforms, revenue cycle management companies, and telehealth applications.
02Account Registration & API Keys
To access the Service, you must create an account and generate one or more API keys. You agree to:
- >Provide accurate and complete registration information
- >Maintain the confidentiality of your API keys and account credentials
- >Immediately notify us of any unauthorized use of your API keys or account
- >Accept responsibility for all activity that occurs under your account or API keys
- >Not share, sell, or transfer API keys to third parties without our written consent
We reserve the right to suspend or revoke API keys that we reasonably believe have been compromised or are being used in violation of these Terms.
03Acceptable Use
You agree not to:
- xUse the Service for any unlawful purpose or in violation of any applicable laws or regulations
- xAttempt to gain unauthorized access to the Service, other accounts, or our systems
- xReverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- xUse the Service to build a competing product or service
- xExceed rate limits or attempt to circumvent usage restrictions
- xSubmit false, misleading, or synthetic clinical data to manipulate API outputs
- xScrape, crawl, or use automated means to access the Service outside of normal API usage
- xInterfere with or disrupt the Service or the servers/networks supporting it
- xUse the Service in a manner that could harm patients or compromise clinical decision-making
- xResell, sublicense, or redistribute API access without a written reseller agreement
- xRemove or alter any proprietary notices, labels, or markings on the Service
04Credits, Billing & Payment
The Service operates on a prepaid credit system. Each API call consumes a specified number of credits based on the endpoint and complexity of the request.
- >Credits are purchased in advance through our dashboard via Stripe
- >Credits are non-refundable once purchased, except as required by applicable law
- >Credits do not expire while your account remains active and in good standing
- >If your credit balance reaches zero, API calls requiring credits will return a 402 error
- >We reserve the right to modify credit pricing with 30 days' advance notice
- >New accounts receive a complimentary credit allocation for evaluation purposes
- >Volume pricing and enterprise agreements are available — contact us for details
All prices are in United States Dollars (USD). You are responsible for any applicable taxes. Payment processing is handled by Stripe, and your use of Stripe is subject to Stripe's terms of service.
05Rate Limits & Service Levels
The Service enforces rate limits to ensure fair usage and platform stability:
We use commercially reasonable efforts to maintain the target uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated at least 48 hours in advance when possible. Enterprise customers may negotiate custom SLAs.
06Healthcare & Clinical Disclaimers
IMPORTANT NOTICE
The Service is an informational and administrative tool. It is not a medical device, does not provide medical advice, and must not be used as a substitute for professional clinical judgment. All clinical decisions remain the sole responsibility of licensed healthcare professionals.
- !Gap analysis results are informational and do not guarantee prior authorization approval
- !Appeal letters are generated as drafts requiring clinical review before submission
- !Payer rules data reflects our best understanding but may not be current — always verify with the payer
- !Formulary data is informational and subject to change by payers without notice
- !The Service does not replace the need for proper clinical documentation practices
- !AI-generated outputs should always be reviewed by qualified personnel before use
07HIPAA & Business Associate Agreement
If you are a covered entity or business associate under HIPAA, and you transmit Protected Health Information (PHI) to the Service, a Business Associate Agreement (BAA) must be executed before any PHI is transmitted. To request a BAA, contact support@talonapi.dev.
Our standard BAA covers the following obligations:
- >Use and disclosure of PHI solely for the purpose of providing the Service
- >Implementation of administrative, physical, and technical safeguards
- >Reporting of any security incident or breach involving PHI
- >Return or destruction of PHI upon termination of the agreement
- >Subcontractor compliance (all sub-processors with PHI access have executed BAAs)
- >Cooperation with Customer's HIPAA compliance obligations
08Intellectual Property
Our IP: The Service, including its design, architecture, algorithms, documentation, payer rules database, and all related intellectual property, is and remains the exclusive property of CAI Systems, Inc. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service via the API in accordance with these Terms.
Your data: You retain all ownership rights to the data you submit to the Service, including clinical notes and patient information. We claim no ownership of your data and will not use it for any purpose beyond providing the Service.
API outputs: You may use the outputs generated by the Service (gap analysis results, appeal letters, readiness scores) in your applications and for your business purposes. We retain no rights to the specific outputs generated from your data.
09Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF PAYER RULES DATA, AI-GENERATED OUTPUTS, OR FORMULARY INFORMATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
10Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAI SYSTEMS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
THIS LIMITATION APPLIES TO ALL CLAIMS IN THE AGGREGATE, NOT ON A PER-INCIDENT BASIS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11Indemnification
You agree to indemnify, defend, and hold harmless CAI Systems, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including any intellectual property, privacy, or HIPAA-related right; or (e) any claim that data you submitted to the Service caused damage to a third party.
12Termination
By you: You may terminate your account at any time by contacting us at support@talonapi.dev or through the dashboard. Unused credits are non-refundable upon voluntary termination.
By us: We may suspend or terminate your account and revoke your API keys immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the Service.
Effect of termination: Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, except as required by law or our data retention policy. Sections that by their nature should survive termination (including warranty disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
13Dispute Resolution
Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Informal resolution: Before initiating any formal dispute resolution, you agree to first contact us at support@talonapi.dev and attempt to resolve the dispute informally for at least 30 days.
Arbitration: Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
15General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, pandemics, war, terrorism, government actions, or infrastructure failures.
- Notices: Notices to you may be sent to the email address associated with your account. Notices to us must be sent to support@talonapi.dev.
